Terms of Service

Welcome to Performance Collab (“we,” “our,” or “us”). By accessing or using our platform, services, or website (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use the Service.

1. Overview

Performance Collab is a platform that empowers brands and agencies to run performance-based campaigns with creators.
Creators receive a guaranteed base pay and unlock additional payouts based on verified performance milestones (e.g. view counts).

2. Eligibility

To use Performance Collab, you must:

Be at least 18 years old
Have the authority to agree to these Terms (as an individual or on behalf of a business)
Provide accurate and up-to-date information

3. Accounts and Access

You are responsible for maintaining the confidentiality of your login credentials.
You may not share your account or impersonate another user.
We reserve the right to suspend or terminate accounts for misuse or violation of these Terms.

4. Platform Usage

For Brands:

You can invite creators, set campaign terms, and define performance-based payout structures.
A guaranteed base pay is triggered once the creator's post is published and approved.
Additional payouts are issued as performance milestones are achieved and verified.
A valid payment method must be on file through Stripe.

For Creators:

You must submit only authentic, original content and analytics.
You may only receive payouts for verified views or reach milestones.
No account connection is required. For views, creators submit a public post URL, and our system verifies metrics automatically. For reach, creators upload screenshots or recordings of in-app analytics.
A Stripe account is required to receive payments.

5. Payments & Fees

All transactions are processed securely via Stripe.
A 5% platform fee is applied only to amounts paid out to creators (including both Base Pay and Performance Bonuses).
Unused campaign funds are automatically refunded to the brand or agency. Platform fees are not applied to unused funds.
Standard credit card and Stripe processing fees may apply (not controlled by Performance Collab).
Performance Collab does not issue refunds once payouts are completed unless due to technical error.

6. Intellectual Property

Creators retain ownership of their content. Brands receive a license to use that content as per the campaign agreement.
The platform, branding, design, and software are owned by Performance Collab and may not be copied or reused.

7. Prohibited Use

Users may not:

Manipulate view metrics (e.g., bots or fake traffic)
Submit falsified analytics
Mislead or defraud participants
Use the platform for illegal or harmful activities
Attempt to reverse engineer, disrupt, or exploit the platform

8. Termination

We reserve the right to terminate or suspend access at any time for violations of these Terms or misuse of the platform.

9. Disclaimer of Warranties

Performance Collab is provided “as is” and “as available.”
We do not guarantee uninterrupted access, error-free performance, or uptime.
We are not liable for delays, third-party service outages (e.g., Stripe, Instagram, TikTok), or incorrect analytics uploads.

10. Limitation of Liability

Performance Collab is not liable for any indirect, incidental, or consequential damages.
Our total liability is limited to the amount paid to us by you in the past 3 months.

11. Changes to These Terms

We may update these Terms from time to time.
If changes are significant, we will notify users via email or platform alerts.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising under or in connection with these Terms shall be resolved in the courts of Delaware.
