Terms of Service

Welcome to Performance Collab (“we,” “our,” or “us”). Performance Collab is owned and operated by Meshwork Technologies Inc., a Delaware corporation. By accessing or using our platform, services, or website (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use the Service.

Overview

Performance Collab is a platform that empowers brands and agencies to run performance-based campaigns with creators. Creators receive a guaranteed base pay and unlock additional payouts based on verified performance milestones (e.g. view counts).

Platform Usage

For Brands

You can invite creators, set campaign terms, and define performance-based payout structures. Guaranteed Base Pay is released once the creator’s post is published and approved. Additional payouts are issued as performance milestones are achieved and verified. A valid payment method must be on file through Stripe.

For standard campaigns, you may invite a specific creator directly. For custom offers, you may receive and accept proposals from creators. In both cases, the campaign is private between you and that creator only.

For Open Campaigns, you set a CPM rate and a per-creator earnings cap before launching. Once your campaign payment is processed, the campaign goes live automatically and accepted creators are notified. You are responsible for reviewing and approving or rejecting submitted content in a timely manner. If no action is taken within the review window, submitted content may be automatically approved. Rejecting content without a valid reason may impact creator participation in your campaign.

When creating an Open Campaign, you may configure the following settings:

Approve Creator Payouts Payouts are sent to creators automatically once views have been verified and calculated by Performance Collab. No further action required. Before any payout is released, you will have the opportunity to review and approve or reject the payout amount. Brands who enable this setting retain the final right to approve or reject payouts presented to them after Performance Collab has completed its verification process.

Brands who choose automatic payouts waive the right to reject individual creator payouts after views have been verified and approved by Performance Collab.

For Creators

You must submit only authentic, original content and analytics. You may only receive payouts for verified views or reach milestones.

For standard campaigns and custom offers, you will work directly with the brand under the terms agreed upon when the campaign is accepted. This campaign is private between you and that brand only.

For view-based campaigns, you submit a public post URL and our system verifies metrics automatically. Views are tracked from the moment your post goes live. All views accumulated since your post was published will count toward your earnings if your submission is approved.

For reach-based campaigns, you may upload screenshots or screen recordings of in-app analytics. A Stripe account is required to receive payments.

For Open Campaigns, you must apply and be accepted by the brand before submitting content. You will be notified when the campaign goes live and content submission is open. Payouts are calculated based on verified views at the CPM rate set by the brand, up to your assigned earnings cap. You will not receive any payout for content that has not been approved. If your content does not follow the brand’s guidelines as described in the campaign details, the brand has the right to reject your submission and you will not be compensated for that content.

Payments & Fees

For Open Campaigns, the total campaign budget is reserved at the time of payment. Creator payouts are issued as views are verified and approved, up to each creator’s individual earnings cap. Any remaining budget after the campaign closes will be returned to the brand’s wallet once all eligible creator payouts have been fully processed. This may take a few business days to complete.

Payout Reviews, Verification & Risk Monitoring

Performance Collab processes payouts once campaign deliverables are submitted and verified. We use both automated and manual verification to confirm campaign performance and detect issues such as manipulated metrics, artificially inflated views, or activity inconsistent with platform or social media data.

To protect brands and creators, some payouts may require additional review based on risk indicators including unusual activity, inconsistent analytics, dispute history, or irregular transaction patterns. In these cases, Performance Collab may temporarily restrict or reserve funds, or withhold or reject payouts, until verification is complete and the campaign data is confirmed.

For brands who have enabled the Approve Creator Payouts option, Performance Collab will conduct its own verification of submitted content and view metrics before presenting any payout for brand review. This includes checking for signs of artificial inflation, bot activity, or guideline violations. By the time a payout is presented for brand approval, Performance Collab has completed its standard due diligence review.

The brand retains the final right to approve or reject any payout presented to them under this setting. If a brand rejects a payout, the creator may dispute that decision directly with the brand. Performance Collab will not be held liable for payout decisions made by the brand after Performance Collab has completed its verification process. Any unresolved disputes between a brand and creator regarding a rejected payout are to be handled directly between those parties.

Brands who choose automatic payouts waive the right to reject individual creator payouts after views have been verified and approved by Performance Collab.

Performance Collab is not liable for any financial loss, lost earnings, or compensation claims arising from the rejection of a creator’s content submission on any campaign type available on the platform, including standard campaigns, custom offers, and Open Campaigns. Whether a rejection is made by Performance Collab during its verification process, or by a brand exercising their right to reject a submission or payout, the creator acknowledges that no payment obligation exists on the part of Performance Collab. Any disagreement regarding a rejected submission or withheld payout is solely between the brand and the creator. Performance Collab will not be named in, held responsible for, or financially liable in any dispute, claim, or legal action arising from a content rejection or withheld payout, regardless of the campaign type or the reason for rejection.

Section 7

Refunds, Chargebacks & Disputes

Payment Flow & Approvals

Performance Collab facilitates payments between brands and creators by managing campaign funds until deliverables are submitted, verified, and approved under the agreed campaign terms. Once the brand approves the deliverables, or once funds are released according to campaign terms, refunds are generally not available.

Disputes Between Brands and Creators

If either party believes deliverables or performance requirements were not met, they must open a dispute within 7 days. Performance Collab will review:

Based on the evidence, Performance Collab may:

For Open Campaigns specifically, creators who have their content rejected by a brand will be notified and may resubmit content for review. If a campaign is cancelled by the brand after content has been approved, creators will still be paid out for any verified views accumulated up to the point of cancellation.

For disputes involving a brand-rejected payout under the Approve Creator Payouts setting, Performance Collab will not be held liable provided that our standard verification process was completed prior to presenting the payout for brand review. The dispute in such cases is to be resolved directly between the brand and creator. Performance Collab may provide relevant verification data to assist both parties but will not be the final decision maker in those cases.

Fraud Prevention & Reversals

Performance Collab may freeze, reverse, or deny payments or payouts if we detect or suspect:

Stripe’s fraud and compliance teams may also be involved when necessary.

Final Determinations

All refund, chargeback, and dispute decisions made by Performance Collab are final, unless overridden by Stripe, a card network, or applicable law.

Section 8

Intellectual Property

Creators retain ownership of their content. Brands receive a license to use that content as per the campaign agreement.

The platform, branding, design, and software are owned by Performance Collab and may not be copied or reused.

Section 9

Use of Creator Profile Information

By creating an account and setting up your profile on Performance Collab, you agree that we can display your public profile, including your name, profile photo, bio, rates, and social media links on our platform and website so brands and agencies can easily discover and connect with you.

We may also feature your public-facing information in promotional content (like social posts, emails, or case studies) to help promote creators and showcase platform success.

You are always in control. You can update or remove your profile at any time.

We reserve the right to terminate or suspend access at any time for violations of these Terms or misuse of the platform.

Disclaimer of Warranties

Performance Collab is provided “as is” and “as available.” We do not guarantee uninterrupted access, error-free performance, or uptime. We are not liable for delays, third-party service outages (e.g., Stripe, Instagram, TikTok), or incorrect analytics uploads.

Section 13

Limitation of Liability

Performance Collab is not liable for any indirect, incidental, or consequential damages. Our total liability is limited to the amount paid to us by you in the past 3 months.

This includes but is not limited to rejected content submissions, withheld payouts, or any earnings a creator expected but did not receive as a result of a rejection by Performance Collab or a brand, across any campaign type on the platform.

Section 14

Changes to These Terms

We may update these Terms from time to time. If changes are significant, we will notify users via email or platform alerts.

Section 15

Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. You agree that all claims and disputes arising out of or relating to these Terms or your use of the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
